Product Warranty

1. Warranty Coverage: U1Dynamics Manufacturing LLC (“Manufacturer”) hereby provides the following warranty (“Warranty”) for its private label oil and branded lubricant products, marketed under the name Ultra1Plus (“Products”). This Warranty is extended to the purchaser (“Customer”) and is subject to the terms and conditions outlined herein.

2. Assurance of Quality:

Manufacturer warrants that all Ultra1Plus Products delivered to the Customer shall: Have good title, unencumbered by any liens or encumbrances. Meet or exceed the specifications provided by the Customer. Be manufactured in strict compliance with industry-standard good manufacturing practices (“GMP”), relevant industry standards, and all applicable laws and regulations of the United States of America. Substantially conform in all respects to any samples provided by the Customer.

3. Limitations and Exclusions: Manufacturer does not extend this Warranty to any logos, graphics, artwork, or other information provided by the Customer. Additionally, Manufacturer shall bear no responsibility for defects arising from:

Improper storage, handling, or transportation of the Products post-delivery.  Contamination, adulteration, misuse, or misapplication of the Products by the Customer or end-users.

4. Geographic Limitation: The Ultra1Plus Products are intended for use exclusively within the United States of America and are not labeled or packaged for resale outside of this territory.

5. Indirect Warranties: Any warranties, express or implied, extended by Manufacturer under this Warranty shall apply solely to the direct Customer. Manufacturer explicitly disclaims any and all implied warranties of fitness for a particular purpose, quality, merchantability, or otherwise.

6. Limitation of Liability: In no event shall Manufacturer be liable for any special, consequential, incidental, or other damages, whether in contract, tort (including negligence), strict liability, or otherwise, arising out of or in connection with the Products.

7. Additional Terms and Conditions: This Warranty is subject to additional terms, conditions, and limitations, which may vary from state to state. In the event of any inconsistency between the terms of this Warranty and those of a written contract (e.g., a manufacturing and supply agreement) executed between Manufacturer and Customer, the terms of such contract shall prevail.

8. Governing Law and Jurisdiction: This Warranty shall be governed by and construed in accordance with the laws of the State of [State], without regard to its conflicts of law principles. Any dispute arising out of or in connection with this Warranty shall be subject to the exclusive jurisdiction of the courts of [State].

9. Reservation of Rights: Manufacturer reserves the right to revise, modify, or terminate this Warranty at any time, at its sole discretion.
